This is a brilliant opportunity for an experienced UK-qualified lawyer/solicitor with a proven track record within corporate and commercial space to join a well-established mid-size firm with an exceptional work ethic, good work-life balance, and flexible working practice. This role is Partner level and requires a level of independence in making decisions and leadership quality to guide the corporate team. You will work alongside other Partners of various departments, however, you will have a responsibility for running a diverse book of existing corporate clients of the firm.
Responsibilities
- Advising various early-stage businesses on the terms of their initial founder shareholder arrangements and/or LLP member arrangements, including drafting bespoke articles of association for limited companies
- Advising companies seeking investment at various stages of growth, on the terms of those investments, whether via debt or equity
- Advising both sellers and buyers on M&A deals in connection with share and asset sales
- Undertaking corporate restructuring exercises for larger clients, usually in anticipation of a future sale or an investment transaction
- Advising clients in connection with finance arrangements with institutional lenders
- Advising owner-managed businesses on the implementation of growth share schemes to incentivise key staff. Working alongside external specialists and accountants
- Working alongside colleagues in our dispute resolution team to document and implement the terms of settlements reached between parties following a commercial dispute
- Assisting clients with the drafting and negotiation of a wide variety of commercial agreements
Ideally, you will be/have
- UK-qualified solicitor
- At least 5 years of PQE experience within a corporate and commercial department
- Ideally, you will come from a mid-size firm
- Strong acumen to drive decisions
- Leadership skills
- You will ideally be at the Partner level. Senior Associate level wanting to step into a partnership can be considered, depending on the previous level of responsibility and autonomy of the work
- Ideally coming from practice
